Abstract

CLAIMANTS, acting as heirs, filed a lawsuit against RESPONDENTS claiming for damages resulting from a traffic accident, caused by the latter, which led to the decease of the father of the former.

The Supreme Court affirmed that the heirs of the victim were entitled to damages and, in doing so, referred to Arts. 5.1.1. and 5.1.2 UNIDROIT Principles, which regulate express and implied obligations. In the opinion of the Court, even though the heirs were not part of the contractual relationship between the deceased father and the transport company which had employed him, the implied obligations emerging from the principle of good faith in complying with the contractual obligations give the heirs a legitimate claim for damages resulting from the RESPONDENTS failure to comply with their contractual obligation towards the deceased, namely, to provide the elements needed to safely perform the job at hand.

However, the Supreme Court rejected the claim since CLAIMANTS failed to prove the RESPONDENTS’ responsibility for the accident.

"Los mencionados deberes secundarios de conducta han tenido acogida en los Principios de UNIDROIT sobre los Contratos Comerciales Internacionales. El artículo 5.1.1 de los mencionados principios textualmente dispone: "Las obligaciones contractuales de las partes pueden ser expresas o implícitas". Mientras que el artículo 5.1.2 de los mismos principios literalmente estatuye: "Las obligaciones implícitas pueden derivarse de: a) la naturaleza y, la finalidad del contrato; b) las prácticas establecidas entre las partes y los usos; c) la buena fe y la lealtad negocial; y d) el sentido común"."}}
