Abstract
In a dispute one of the parties invoked the existence of a binding Agreement, whereas the other party objected that no contract has been concluded since during the negotiations it had insisted that to this effect a mere oral exchange of offer and acceptance was not sufficient but a contract in writing signed by both parties was required. The Court decided in favour of the latter party and in so doing it referred to Article 2.1.13 of the UNIDROIT Principles (“Conclusion of contract dependent on agreement on specific matters or in a particular form”).
